These Terms of Service (“Terms”) govern your access to and use of the services provided by Gumdrop, Inc. (“Gumdrop,” “we,” “our,” or “us”), including our websites, scheduling tools, booking pages, email-based scheduling assistant, AI-powered scheduling features, calendar integrations, and related services (collectively, the “Services”).
By creating an account, accessing, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use the Services.
1. Eligibility and Accounts
You must be at least sixteen (16) years old, or the minimum age of legal capacity required in your jurisdiction, to create an account and use the Services. You agree to provide accurate, current, and complete account information and to keep it updated.
You are responsible for maintaining the confidentiality of your login credentials and for activity under your account. You must notify Gumdrop promptly if you believe your account has been compromised.
2. The Gumdrop Service
Gumdrop helps coordinate and schedule meetings. Depending on the features you use, you may connect supported calendars, include Gumdrop in email conversations, use Gumdrop booking pages, and allow Gumdrop to communicate with meeting participants, identify scheduling options, collect availability, and create or modify calendar events.
Gumdrop may use artificial intelligence to interpret scheduling requests and take or recommend scheduling-related actions. You remain responsible for reviewing important meeting details and for how you use the Services.
3. License and Acceptable Use
Subject to these Terms, Gumdrop grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.
You may not use the Services to:
violate any applicable law or regulation;
send unlawful, fraudulent, deceptive, harassing, abusive, or unsolicited communications;
impersonate another person or misrepresent your authority to schedule or communicate on another person's behalf;
gain unauthorized access to accounts, systems, networks, or data;
interfere with the security, integrity, availability, or performance of the Services;
copy, modify, reverse engineer, decompile, or attempt to derive source code from the Services except where such restriction is prohibited by law; or
use the Services in a manner that infringes or violates the rights of Gumdrop or any third party.
4. Scheduling Communications and Other Participants
When you include Gumdrop in an email conversation, invite another person through Gumdrop, or otherwise use Gumdrop to coordinate with third parties, you authorize Gumdrop to process the information you provide and to communicate with those participants as reasonably necessary to provide the requested scheduling functionality.
You are responsible for ensuring that you have the right to provide information to Gumdrop and to involve Gumdrop in communications you initiate. Other participants may interact with Gumdrop without creating an account and may provide information directly to Gumdrop through email, booking pages, or other scheduling interactions.
5. User Content
You retain ownership of content and information you submit, send, or make available through the Services (“User Content”). You represent and warrant that you have the rights and permissions necessary to provide User Content to Gumdrop and to allow Gumdrop to process it as described in these Terms and our Privacy Policy.
You grant Gumdrop and its affiliates and service providers a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, analyze, reformat, transmit, and otherwise use User Content as reasonably necessary to provide, maintain, secure, and improve the Services and provide the functionality you request.
Gumdrop may create aggregated or de-identified information derived from use of the Services and use that information for analytics, security, performance, and product improvement, provided it does not identify you as an individual.
6. Calendar and Third-Party Integrations
Gumdrop may integrate with third-party services, including Google and Microsoft. When you enable an integration, you authorize Gumdrop to access and process information made available through the permissions you grant for the purpose of providing the Services.
Calendar integrations may allow Gumdrop to view calendar information and create, modify, or manage calendar events in connection with scheduling requests. You may revoke access through the applicable third-party provider.
Third-party services are governed by their own terms and privacy policies. Gumdrop is not responsible for the availability, accuracy, security, or performance of third-party services.
7. Artificial Intelligence
Certain Services use artificial intelligence, including large language models, to interpret scheduling conversations, maintain conversational context, generate responses, and assist with scheduling actions.
By using these features, you authorize Gumdrop and its AI service providers to process relevant portions of User Content and scheduling information as necessary to provide the functionality you request, subject to our Privacy Policy.
AI-generated outputs and automated scheduling actions may contain errors or may be based on incomplete or incorrect information. Gumdrop does not guarantee that AI-generated content, proposed times, participant information, or other outputs will always be accurate or complete.
8. Fees, Subscriptions, and Payment
Some Services may be offered free of charge and others may require payment. Pricing, trial terms, billing frequency, and other subscription terms will be presented when you purchase a plan.
Payments are processed through Stripe or another payment processor. By purchasing a paid plan, you authorize the applicable charges and agree to the payment processor's applicable terms.
Unless otherwise stated at purchase, subscriptions automatically renew at the end of each billing cycle until canceled. You may cancel before the next renewal date, and cancellation will take effect at the end of the then-current billing period. Except where required by law or expressly stated otherwise, fees are non-refundable.
We may change pricing or plans from time to time. We will provide advance notice of material changes where required. You are responsible for applicable taxes, duties, or governmental charges associated with your purchase.
9. Intellectual Property
The Services, including Gumdrop's software, technology, user interface, designs, logos, trademarks, and related intellectual property, are owned by Gumdrop or its licensors and are protected by applicable intellectual-property laws.
Except for the limited right to use the Services granted under these Terms, no rights in Gumdrop's intellectual property are transferred to you.
10. Suspension and Termination
You may stop using the Services at any time and may close your account subject to available account controls. If you cancel a paid subscription, access to paid features will continue through the end of the current billing period unless otherwise stated.
Gumdrop may suspend or terminate access if we reasonably believe you have violated these Terms, failed to pay applicable fees, misused the Services, created security or legal risk, or engaged in conduct that may harm Gumdrop, our users, or others. We may also discontinue all or part of the Services for operational, legal, or security reasons.
Upon termination, your right to use the Services ends. Data will be retained or deleted in accordance with our Privacy Policy. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, indemnification, and dispute-resolution provisions.
11. Disclaimers
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, GUMDROP DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Gumdrop does not warrant that the Services will be uninterrupted, error-free, completely secure, or that scheduling results will always be accurate. Scheduling may depend on information supplied by users, guests, calendar providers, email systems, AI systems, and other third parties, and that information may be incomplete, delayed, or incorrect.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUMDROP WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUMDROP'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO GUMDROP FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law, including liability for fraud, gross negligence, or intentional misconduct where applicable.
13. Indemnification
You agree to defend, indemnify, and hold harmless Gumdrop, its affiliates, officers, directors, employees, and agents from and against claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or related to your use of the Services, your User Content, your violation of these Terms, or your infringement or alleged infringement of the rights of a third party.
14. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to them or the Services will be governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
Before initiating formal proceedings, you and Gumdrop agree to attempt in good faith to resolve any dispute informally. If a dispute cannot be resolved informally, it will be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, conducted in English and held in a location mutually agreed upon.
You and Gumdrop agree that arbitration will be conducted on an individual basis and not as a class, consolidated, or representative action. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of rights.
15. Changes to the Services or Terms
We may modify the Services and may update these Terms to reflect changes in the Services, our practices, or applicable law. If we make material changes to these Terms, we will provide notice by email, through the Services, or on our website as appropriate. Continued use of the Services after updated Terms take effect constitutes acceptance of the revised Terms.
